Outsourcing Contract Review Questions

Updated 2026-06-09 · By Michael K. Trent

This is not legal advice. It is a practical list of business questions to help readers understand what needs attention before professional review or signature.

Scope questions

What exactly is included? What is excluded? What assumptions are built into the price? What tasks remain with the buyer? What documents or schedules define the service?

If the sales proposal and contract differ, which one controls?

Money questions

What are the setup fees, monthly fees, variable charges, minimum charges, renewal increases, taxes, travel costs, software costs, and change-order rules?

What happens if volume rises or falls?

Service questions

What are the service levels, hours of support, escalation paths, reporting obligations, review meetings, and remedies for repeated misses?

Are response and resolution measured separately?

Exit questions

How can either side terminate? How much notice is required? How are records returned? What transition assistance is included? What access is removed? What data is retained or deleted?

A contract should explain not only how the relationship starts, but how it can end safely.
